Terms & Conditions
Master Services Agreement
This Statement of Work (SOW) is issued between STAR (Company) and Fairway Digital Media, LLC (Service Provider), effective date February 1, 2026.
This Statement of Work ("SOW") is executed and entered into by and between the Service Provider and the Company, and is subject to the terms and conditions specified herein. Any Exhibit(s) attached hereto shall be deemed an integral part of this SOW. In the event of any inconsistency between the provisions of this SOW and the Exhibit(s), the provisions of this SOW shall govern and control.
1.0 Agreement:
These terms, together with the Scope of Work and any related correspondence, constitute the entire agreement between the Service Provider and the Company.
Any changes or modifications to these terms or the Scope of Work must be mutually agreed upon in writing by both parties.
2. Authorization
The Service Provider shall obtain formal written authorization from the Company before commencing any project or work. Such authorization may take the form of a purchase order, an email, or a signed copy of the SOW.
3. Payment Terms
The Company shall pay the invoiced amount as specified in the "Invoice & Delivery Schedule" (Page 2).
- Upfront Payment (Due on Receipt): Applies to the Website Pixel (Annual License), Event OS Onboarding Fee, and Playbook Production (split H1/H2).
- Net 30: Applies to recurring Event OS monthly fees.
- 3% APR late fee applied to past due accounts.
4. Data Privacy & Compliance
The Service Provider shall ensure that any personal data provided to the Company has been collected in accordance with applicable data protection regulations. The Service Provider shall indemnify and hold the Company harmless from any claim arising from the processing of such personal data.
5. Returns & Disputes
Supporting evidence (e.g., contact details) must accompany all disputes. If unresolved, the Service Provider has final discretion on lead validity.
6. Limitation of Liability
Neither party shall be liable for indirect, incidental, special, or consequential loss arising under this agreement. Total liability is limited to the total fees paid by the Company under this agreement.
7. Term & Termination
7.1 Fixed Term Subscriptions (Non-Cancellable): The Website Visitor Identification (Pixel) is sold as an annual subscription and is non-cancellable once the Term commences. Early termination does not relieve the obligation to pay the full Contract Value.
7.2 Event OS Platform (6-Month Opt-Out): The Company may terminate the Event OS Platform service for convenience at any point after the initial six (6) months of the Term. To exercise this opt-out, the Company must provide written notice. Upon such termination, future monthly billing for the Event OS will cease. Upfront fees are non-refundable.
7.3 Service Deliverables (Playbooks): Production of Account Playbooks may be terminated by the Company upon two (2) business days' written notice.
Appendix A: Event Volume Pricing & Overages
Base Coverage Specifications
The Monthly Base Fee for the Event OS Platform includes coverage for up to 80 distinct events per month. Coverage requirements exceeding this threshold are subject to the incremental pricing schedule.
